1. The Applicants
This notification is made by the acquiring party, Samwoh Corporation Pte Ltd (“Samwoh”) for the acquisition of control of Highway International Private Limited (“Highway”).

2. Description of the Merger
This notification is in relation to the acquisition of control by Samwoh over Highway. Samwoh submits that given the intense nature of competition in the market, strong countervailing buyer power of customers, low barriers to entry and expansion, and other competitive characteristics of the relevant markets, the Acquisition will not result in a substantial lessening of competition.

3. Relevant good(s) or service(s) involved
(i) The market for the supply of asphalt premix in Singapore; and
(ii) The market for the provision of asphalt laying services in Singapore.

Decision:

The proposed merger, if carried into effect, will not infringe the section 54 prohibition.
