The proposed commercial cooperation (“Proposed Cooperation”) between the Parties will involve a joint venture arrangement on services between Singapore and Vietnam. Pursuant to the Proposed Cooperation, the Parties will cooperate on, among other things, scheduling, pricing, sales and marketing, and other commercial areas (including expanded codesharing cooperation and enhanced special prorate agreements), to bring about a metal-neutral alliance in respect of services between Singapore and Vietnam. Subject to applicable competition laws, the Proposed Cooperation is expected to result in significant consumer and economic benefits, and efficiencies, including, inter alia: · An enhanced air travel product for services between Singapore and Vietnam; · Expanded virtual networks of the airlines, thereby providing an increased number of service offerings to passengers; · More competitive fares through the reduction of double marginalisation and better fare combinability; · Scheduling benefits and time savings through reductions in transit time; · Significant benefits to corporate account customers; · Benefits for members of both airline’s frequent flyer programme (“FFP”), extending beyond Star Alliance FFP/ Skyteam FFP arrangements, and improving existing bilateral cooperation; and · Improved connectivity for both Singapore and Vietnam, with consequential benefits to both countries’ aviation industry and tourism. The Proposed Cooperation relates to the provision of international air passenger transport services. The scope of the Proposed Cooperation will include all services operated by the respective Parties between Singapore and Vietnam. The Parties submit that the relevant market should comprise direct air passenger services between Singapore and Vietnam, and in particular each origin and destination city pair of the overlapping direct routes, namely between: · Singapore to Ho Chi Minh City (SIN-SGN vv); and · Singapore to Hanoi (SIN-HAN vv). For completeness, the Proposed Cooperation also extends to various overlapping indirect routes (i.e., where VN operates indirect services with one stop, and SIA operates direct services on its own or through its wholly-owned subsidiary, Scoot Pte. Ltd.): · Singapore to Da Nang (SIN-DAD vv); · Singapore to Nha Trang (SIN-CXR vv); and · Singapore to Phu Quoc (SIN-PQC vv). |
